SURABAYA, November 30, 2023 - PT Bank Pembangunan Daerah Jawa Timur Tbk (bankjatim) is increasingly aggressive in expanding its business. Most recently, the issuer with the code BJTM has conducted an MoU with PT Bank Pembangunan Daerah Lampung (Bank Lampung) regarding the formation of a Bank Business Group (KUB) on Thursday (30/11). Located at the JW Marriot Hotel, the signing of the MoU was carried out directly by the President Director of bankjatim Busrul Iman and President Director of Bank Lampung Presley Hutabarat.
Busrul explained that the MoU was about the fulfillment of the Financial Services Authority (OJK) regulation No. 12/POJK.03/2020. The contents are that the parties agree that the capital participation will be carried out with a certain nominal amount which will be determined at a later date. In addition, both parties agreed to choose a bank consolidation scheme in the form of forming a KUB for banks that are already owned.
Then in the MoU it is also mentioned that bankjatim will be the parent company in the KUB scheme with direct or indirect control. "This KUB actually provides many benefits for both parties, increasing value for shareholders, and providing better service for customers. Therefore, we must always encourage the spirit of synergy," said Busrul. The banking synergy that can be done between bankjatim and with Bank Lampung is quite a lot. Among other things in the field of credit / financing, liquidity, services and banking operations.
The process of forming a KUB carried out by bankjatim is not the first time, in accordance with one of the transformations that has been launched by the company since last year, namely carrying out corporate actions. bankjatim assumes that the more KUB members, the stronger the group will be and have a larger ecosystem. "Stronger synergy in various fields will provide added value for both bankjatim and other BPDs," he said.
Previously, bankjatim has done the KUB process with Bank NTB Syariah. The progress of KUB with NTB Syariah is that it has been submitted in the bank's business plan (RBB), the selection of independent consultants, the preparation of a draft agreement between shareholders and a draft conditional share-taking agreement, and now has arrived in the process of negotiating a share price agreement.
"We are aggressively targeting the formation of KUB because it has various positive impacts. For example, creating inorganic growth for bankjatim. With KUB, we are appointed as the Parent Bank so that we can increase the company's assets through inorganic growth," Busrul explained.
It's not enough there. Another benefit is the fulfillment of core capital for BPD. As is known, based on POJK 12/2020 concerning Commercial Bank Consolidation, BPD is required to increase its core capital of at least Rp3 trillion by December 31, 2024. But if the BPD is effectively incorporated as a member of KUB, the fulfillment of its core capital only has Rp 1 trillion.
In addition to strengthening capital, the KUB carried out by BPD will also aim to accelerate digitalization, improve governance standards and professionalism, inter-money market arrangements, and develop a joint payment system.

In addition, bankjatim also pocketed the results of the self-assessment of the composite rating of the bank's health level for the period June 2023 PK-2 or reflecting the general condition of the bank.
"KUB must continue to be encouraged considering that East Java is the second contributor nationally in GRDP. In addition, East Java is the center of gravity in eastern Indonesia. So this certainly has a huge influence on the economy," Busrul said.
